Susan King provides a broad range of clients with general corporate and business representation.

Ms. King has successfully led and closed more than 35 merger and acquisition transactions for established companies who are seeking to expand their businesses through acquisitions, experienced entrepreneurs who have grown their businesses and are ready to move on to their next challenge, and young companies who may be engaging in their first acquisition. Ms. King assists with drafting all necessary documents to consummate the transaction including:

  • Term sheets
  • Letters of intent
  • Due diligence requests and responses
  • Purchase agreements
  • Merger agreements
  • Novation agreements
  • Escrow agreements
  • Non-competition agreements
  • Employment agreements and other agreements ancillary to
    the transaction.

Ms. King has also assisted numerous companies with the private placement of debt and equity securities, including angel rounds and venture capital transactions. She assists clients with the preparation of disclosure documentation and negotiates and prepares subscription and purchase agreements and revisions of corporate documents and shareholder agreements. She also helps her clients structure the terms of their offering to comply with federal and state securities laws and assists in the preparation of any federal and state securities filings required in connection with the offering.

In addition to providing transactional representation in mergers and acquisitions transactions and securities offerings, Ms. King provides general business representation. She counsels clients on diverse corporate and business issues, including:

  • Corporate governance and equity holder relationships

  • Preservation of confidential information
  • Employment issues
  • Product distribution arrangements

Ms. King represents a diverse client base, including e-commerce companies, Internet content providers, software developers, distributors of digital recording and storage systems, government contractors, health care service providers and consulting companies.
